PTQ (Part-Time Quant) — Terms of Service
These terms are a contract between you and the company that operates PTQ. Please read them before you use the Service. By creating an account, or by using any part of the Service, you agree to them. If you do not agree, do not use the Service.
Operator: Lewis Jackson Ventures Ltd (registered in England and Wales, company number 14843004) (company number 14843004), registered at 46 Priory Road, Reigate, Surrey, RH2 8JB, United Kingdom. In these terms, "PTQ", "we", "us" and "our" mean that company. "You" means the person using the Service.

Plain-English summary
This summary is here to help you. It is not part of the contract. If it conflicts with the full terms below, the full terms win.
- PTQ is an education and tooling product for people learning quantitative trading. It is not investment advice, portfolio management, or a signals service. You make every trading decision yourself.
- Paper Trading on the hosted platform is always simulated. Fills are modelled, never real, and are labelled as simulated.
- The paid plan is $997 per year. It renews automatically. We will remind you before it renews and you can cancel any time; cancellation takes effect at the end of the period you have paid for.
- The paid plan includes a licence key for the local desktop OS, usable on up to 2 devices. The licence is personal to you. Anyone using your key spends your credits, so sharing it costs you, not us.
- Live trading only ever happens on your own computer, through your own broker account, with your own broker keys, and only after you explicitly arm it for that session. Your keys never leave your machine. We never see them, we never hold your money, and we are not a party to any trade.
- We are not authorised or regulated by the Financial Conduct Authority.
- You own the strategies you build. We only get the limited licence we need to run the Service for you.
- Backtests and simulations do not predict future results. Most strategies fail our validation gate. That is the product working as intended.
- Trading involves risk of loss. Never trade with money you cannot afford to lose.
1. Definitions
In these terms:
- "Service" — everything we provide under these terms: the Hosted Platform, the Local OS, the MCP Connector, the AI Features, documentation, and support.
- "Hosted Platform" — the web application at part-timequant.com, including account management, strategy building, backtesting, validation tooling, and Paper Trading.
- "Local OS" — the desktop software we make available to Paid subscribers for installation on their own computer.
- "MCP Connector" — the connector we make available to Paid subscribers that lets a compatible AI client (for example Claude) interact with the Local OS on the subscriber's own machine.
- "Licence Key" — the key issued to a Paid subscriber that activates the Local OS and MCP Connector.
- "Device Seat" — one device on which a Licence Key is active. The PTQ subscription includes 2 Device Seats.
- "Credits" — the usage units that meter certain features of the Service, including AI Features. Credit allowances are described on our pricing page.
- "PTQ" — the paid annual subscription described in section 7.
- "Paper Trading" — simulated trading on the Hosted Platform. No real orders are placed and no real money is at risk.
- "Live Trading" — real orders placed with a real Broker. Live Trading is only possible through the Local OS on your own machine, as described in section 11.
- "Arming Gate" — the explicit, per-session confirmation step in the Local OS that you must complete before any Live Trading can occur in that session.
- "Broker" — a third-party brokerage firm with which you hold your own account. We have no relationship with your Broker.
- "Strategy" — a trading strategy, model, configuration, rule set, or risk profile that you create or upload using the Service.
- "AI Features" — features of the Service that use artificial-intelligence models, including the support assistant and user-facing AI tooling.
- "Validation Tools" — the statistical testing features of the Service, including backtesting, probability of backtest overfitting (PBO) analysis, and deflated Sharpe ratio analysis.
- "Consumer" — an individual using the Service wholly or mainly outside their trade, business, craft, or profession. We expect most users to be Consumers, and nothing in these terms removes rights the law gives Consumers.
2. Education, not advice (core term)
This section is the heart of these terms. Every other section is read subject to it.
2.1 What the Service is. The Service provides education, software tooling, and statistical validation. It helps you build, test, and stress-test your own trading strategies, and it teaches you how to interpret the results.
2.2 What the Service is not. The Service does not provide, and nothing in it should be treated as:
- investment advice, or a personal recommendation of any kind;
- portfolio management, discretionary management, or any form of managing your money or assets;
- trading signals, tips, or instructions to buy, sell, or hold anything;
- an invitation, inducement, or solicitation to trade or to engage in any investment activity;
- tax, accounting, or legal advice.
2.3 Outputs are computational results. Backtests, validation scores, statistics, charts, AI outputs, and every other output of the Service are computational results derived from data and parameters you choose. They describe the past behaviour of a strategy against historical data. They are not predictions, forecasts, or recommendations.
2.4 You decide, you are responsible. You are solely responsible for every trading decision you make, for every order you place or arm, and for all resulting gains and losses. You use the Service on the basis that you will make your own decisions, at your own risk, using your own judgement.
2.5 Your jurisdiction, your compliance. You are solely responsible for making sure that your use of the Service, and your own trading, is lawful where you live and wherever you trade. This includes any tax, reporting, licensing, or regulatory obligations that apply to you personally.
2.6 No client relationship. Using the Service does not make you our client for any regulated activity, and does not create any advisory, fiduciary, or agency relationship between us.
2.7 If you need advice. If you are unsure whether trading is right for you, or what to do with your money, speak to a financial adviser who is authorised in your jurisdiction. In the UK, that means a firm authorised and regulated by the Financial Conduct Authority.
2.8 Failure is a feature. The Validation Tools exist to expose weak strategies. Most strategies fail the validation gate. A strategy passing validation is not a promise, prediction, or endorsement that it will make money.
2.9 No performance claims. We make no claims about the performance of any strategy, the Service, or trading generally, and we do not publish or endorse any. Past performance — including simulated and backtested performance — is not a reliable indicator of future results.
3. Regulatory status
3.1 We are not authorised or regulated by the Financial Conduct Authority (FCA) or by any other financial regulator, and we do not provide any regulated services.
3.2 We are not a broker, dealer, exchange, or trading venue. We do not arrange deals, transmit orders on your behalf, execute trades, or operate any facility on which trades take place.
3.3 We never hold client money or client assets. We never receive, hold, or control your broker credentials or API keys — see section 11.
3.4 Because we are not an FCA-authorised firm, the protections that apply to customers of authorised firms — including the Financial Ombudsman Service and the Financial Services Compensation Scheme — do not apply to the Service.
4. Eligibility and the consent gate
4.1 Age. You must be at least 18 years old to use the Service.
4.2 Consent gate. Before you can use the substantive features of the Service, you must complete our in-app consent gate. It asks you to confirm your jurisdiction and to acknowledge, among other things, the education-not-advice terms in section 2 and the risk warnings in these terms. We keep a record of your acknowledgement.
4.3 Supported jurisdictions. The PTQ subscription is available only in supported jurisdictions. Checkout is blocked for unsupported jurisdictions. The current list of supported jurisdictions is published at the checkout page, which states the jurisdictions we can currently sell to.
4.4 Honesty about jurisdiction. You must give truthful information at the consent gate. You must not use technical means (including VPNs) or false information to disguise your jurisdiction or to bypass a jurisdiction block. If we learn that you did, we may suspend or terminate your account under section 17.
4.5 Changes of circumstance. If you move to a different jurisdiction, you must update your account details. If your new jurisdiction is unsupported, we may need to end your subscription; if we do, we will refund the unused part of your subscription period on a pro-rata basis.
5. Your account
5.1 Registration. Accounts are created and authenticated through our identity provider, Clerk. You must provide accurate, current information and keep it up to date.
5.2 One account. One account per person. You must not create multiple accounts, create an account for someone else, or let anyone else use your account.
5.3 Security. Keep your login credentials and any second factors secure. You are responsible for activity on your account. Tell us promptly at lewis@jackson.ventures if you suspect unauthorised access.
5.4 Accuracy matters here. Parts of the Service — including the consent gate and jurisdiction checks — rely on the information you give us. Deliberately false information is a serious breach of these terms.
6. Accounts without a subscription
6.1 You can create an account before you pay. Signing up costs nothing, but it does not give you the product. Until payment is received no licence key and no Credits are issued, and the platform's features stay locked.
6.2 What an unpaid account can do. You can sign in, see what PTQ is, start checkout, and read our support material. That is all — an unpaid account cannot build strategies, run backtests, use Credits, place paper orders, or download the Local OS.
6.3 There is no free tier. PTQ has one plan, described in section 7. We do not offer a free tier, a free trial, or a trial period.
7. The PTQ subscription
7.1 Price and billing. PTQ costs $997 (US dollars) per year, inclusive of any VAT due. That is the price you pay — nothing is added at checkout. Our VAT number is GB472696843. Payment is taken by our payment processor, Stripe. We do not see or store your full card details.
7.2 What you get. The PTQ subscription unlocks:
- full Hosted Platform features, as described on our pricing page;
- the Credit allowance described on our pricing page;
- a Licence Key for the Local OS and MCP Connector, with 2 Device Seats (section 8).
7.3 Auto-renewal. The PTQ subscription renews automatically every year, and the then-current annual price is charged to your payment method on renewal, unless you cancel first. We will send you a reminder before each renewal, with the renewal price and date and instructions for cancelling.
7.4 Cancellation. You can cancel at any time from your account settings, or by emailing lewis@jackson.ventures. Cancellation stops the next renewal. Your PTQ features continue until the end of the period you have already paid for. After that your account remains open but locked, exactly as an unpaid account is under section 6 — your strategies and records are kept and become available again if you subscribe again, subject to section 11 on data retention and deletion.
7.5 Cooling-off. If you are a Consumer, you may have a legal right to cancel within 14 days of purchase and receive a refund. Where the law allows, we will ask for your express consent to immediate access to digital content, and your acknowledgement of the effect of that consent on your cancellation right, at checkout.
7.6 Refunds. Refunds and statutory cancellation are covered in our Refund and Cancellation Policy, which forms part of these terms. none — see the Refund and Cancellation Policy Nothing in this section reduces your statutory rights, including your rights under the Consumer Rights Act 2015 if the Service is faulty.
7.7 Price changes. We may change the price of the PTQ subscription. A price change never applies mid-period. We will tell you about a price change in the renewal reminder (at the latest), and you can cancel before the renewal if you do not accept it.
7.8 Failed payments and chargebacks. If a renewal payment fails, we will retry and notify you; if it still fails, your subscription ends and your account becomes locked as described in section 6 — your records are kept, and access returns if you subscribe again. If you charge back a payment rather than contacting us, we may revoke your Licence Key and suspend your account while we investigate (section 8.6).
7.9 Instalments. We do not currently offer instalment or financing options. If we introduce them later, separate terms will apply and will be shown before you choose them.
8. Licence for the Local OS and MCP Connector
8.1 The licence. While your PTQ subscription is active, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Local OS and MCP Connector, for your own use, on up to 2 devices at a time (your 2 Device Seats), activated with your Licence Key.
8.2 Personal means personal. The licence is for you alone. You must not sell, rent, lend, sublicense, or share the Local OS, the MCP Connector, or your Licence Key, and you must not use them to provide a service to anyone else.
8.3 Device Seats. You can deactivate a device and activate a different one from your account settings. two devices at a time; a lease is valid for up to 3 days offline before it must revalidate
8.4 How the anti-sharing mechanics work (plain disclosure). We deliberately tie usage to your account rather than policing you with surveillance:
- Your Licence Key links all Local OS and MCP Connector usage to your account.
- Metered features consume Credits from your account's allowance, whoever is at the keyboard.
- If you share your Licence Key, everyone using it drains your Credits. Sharing does not create extra capacity; it consumes yours.
- We may also limit concurrent use to your Device Seats.
We are telling you this plainly so there is no surprise: sharing your key is both a breach of these terms and directly costly to you.
8.5 What you must not do with the software. You must not copy (except as reasonably necessary for installation and backup), modify, adapt, translate, or create derivative works of the Local OS or MCP Connector; work around the Licence Key, Device Seats, Credit metering, or Arming Gate; or reverse engineer, decompile, or disassemble the software, except to the extent the law gives you a right to do so that cannot be excluded (for example under sections 50A–50BA of the Copyright, Designs and Patents Act 1988).
8.6 Revocation. We may revoke your Licence Key, which disables the Local OS and MCP Connector, if: (a) you receive a refund of the subscription that included it; (b) you charge back a payment; (c) your PTQ subscription ends; or (d) you seriously breach these terms (including key sharing or circumvention). Revocation for breach follows the process in section 17.
8.7 Open-source components. The Local OS may include third-party and open-source components. Those components are licensed under their own terms, which we will make available with the software, and nothing in these terms restricts rights those licences give you.
9. Acceptable use
You must not, and must not attempt to, and must not help anyone else to:
- Resell or commercialise the Service — no reselling, renting, sublicensing, white-labelling, or bureau use; no using the Service to provide advice, signals, portfolio management, or any service to third parties;
- Share access — no sharing accounts or Licence Keys, and no pooling of Credits across people;
- Scrape or harvest — no scraping, crawling, bulk-downloading, or systematic extraction of Service content or data, and no use of Service output to build a competing product or to train machine-learning models ;
- Circumvent — no bypassing or tampering with authentication, the consent gate, jurisdiction blocks, Credit metering, rate limits, Device Seats, the Arming Gate, or the labelling of simulated results;
- Break the law — no unlawful use of any kind, including market abuse or market manipulation (for example spoofing, layering, wash trading, or acting on inside information), fraud, or money laundering;
- Harm the Service — no malware, no denial-of-service, no probing or testing the security of the Service without our prior written consent, no abusive load, and no interference with other users;
- Misrepresent — no false jurisdiction or identity information, and no presenting Service output (including paper-trading results or backtests) to others as real trading performance.
We may investigate suspected breaches and take action under section 17. Where a breach is unlawful, we may report it to authorities.
10. Paper Trading
10.1 Simulated, and labelled as such. Paper Trading is a simulation. No real orders are placed, no real money changes hands, and nothing is at risk. Simulated fills and results are clearly labelled as simulated throughout the Service.
10.2 Simulations are not markets. Simulated fills are generated by our models against market data. Real markets involve spreads, slippage, partial fills, liquidity constraints, outages, and costs that a simulation cannot fully reproduce. Paper Trading results will differ from real trading results — usually for the worse in real trading.
10.3 No representation. Paper Trading results are not a representation about future results, about the profitability of any strategy, or about how a strategy would have performed or will perform with real money.
11. Live Trading
11.1 Local only, by design. Live Trading is only possible through the Local OS running on your own computer. The Hosted Platform cannot place real orders, and we never execute trades server-side. There is no mode, setting, or support request that changes this.
11.2 Your broker, your keys. Live Trading uses your own account with your own Broker, authenticated with your own Broker API keys. Your keys are entered and stored only on your machine. They never pass through our servers, and we never receive, see, or store them.
11.3 The Arming Gate. The Local OS will not place any real order until you complete the Arming Gate for that session: an explicit, human confirmation that you want Live Trading enabled. Arming lasts only for that session. You can disarm at any time, and the software returns to a disarmed state between sessions. You must not automate, script, or bypass the Arming Gate.
11.4 You are the trader. Every live order is initiated by you or by software you have configured and armed on your own machine. We are not a party to any trade. We do not transmit, route, or execute orders, and we have no ability to place, amend, or cancel orders on your Broker account.
11.5 No client money. We never hold, receive, or control your money or assets. All funds stay between you and your Broker, under your Broker's terms.
11.6 Your Broker relationship. Your relationship with your Broker is governed entirely by your agreement with them. We are not responsible for your Broker's acts, omissions, availability, execution quality, or solvency. Check that your Broker permits API trading and that your use complies with their terms.
11.7 Supervise your software. Trading software — ours included — can contain errors, and markets can behave in ways no software anticipates. You must supervise any armed session, set appropriate limits at your Broker where available, and be ready to intervene directly with your Broker if needed.
11.8 Risk warning. Trading involves significant risk of loss. Prices can move rapidly and markets can gap. Leveraged products can produce losses greater than your deposit. Only trade with money you can afford to lose. If you do not understand these risks, do not trade.
12. AI Features
12.1 What they are. The AI Features use third-party artificial-intelligence models (currently supplied by Anthropic) to power the support assistant and user-facing AI tooling.
12.2 Outputs can be wrong. AI outputs are computational results. They can be wrong, incomplete, out of date, or misleading, and they can state wrong things confidently. Check anything important before you rely on it.
12.3 Not advice. Section 2 applies fully to AI outputs. No AI Feature provides investment advice, personal recommendations, or signals, whatever the output happens to say. If an AI output reads like advice, treat it as a malfunction, not an exception to these terms — and please report it to us.
12.4 Metering. AI Features consume Credits as described on our pricing page. We may apply rate limits and fair-use limits to keep the Service available for everyone.
12.5 Your inputs. Do not submit other people's personal data to AI Features unless you have the right to do so, and do not submit content you have no right to use. How we handle AI inputs and outputs is described in our Privacy Policy.
12.6 Support assistant scope. The support assistant helps with using the product. It is not a route to advice, and it cannot change these terms, make promises on our behalf, or grant refunds or entitlements outside our published policies.
13. Intellectual property
13.1 You own your Strategies. You own your Strategies and everything else you create with the Service — strategy logic, configurations, risk profiles, notes, and settings. These terms do not transfer any of it to us.
13.2 Our licence to your content — limited and purposive. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, back up, and display your Strategies and other content solely to: (a) operate the Service for you; (b) keep the Service secure; (c) provide support you request; and (d) comply with law. This licence ends when the content is deleted from the Service, except for residual copies in backups, which are deleted on the backup cycle described in our Privacy Policy.
13.3 What we will not do with your Strategies. We will not trade on your Strategies, sell them, publish them, share them with other users, or use them to build or train competing strategy products. We do not use your strategies or trading records to build aggregated or anonymised analytics. If that ever changes, this agreement and the Privacy Policy will be updated first.
13.4 We own the Service. We (and our licensors) own the Service: the software, the Hosted Platform, the Local OS, the MCP Connector, the Validation Tools, our models and simulations, the documentation, the branding, and all content we supply. You get only the rights these terms expressly grant.
13.5 Feedback. If you send us ideas or feedback, we can use them without restriction or payment, and you agree we do not owe you anything for them. This does not apply to your Strategies.
13.6 Educational content. Courses, guides, and other educational materials in the Service are licensed to you for personal use only. You must not republish or redistribute them.
14. Your data
14.1 Privacy Policy. How we collect and use personal data is set out in our Privacy Policy, which forms part of the picture but is a separate document. It covers our processors (including Clerk, Stripe, Anthropic, Railway, Cloudflare, and Resend, our transactional email provider) and your rights under UK data-protection law.
14.2 Export. You can export your product data (including Strategies, risk profiles, settings, and paper-trade history) as JSON from your account settings at any time.
14.3 Deletion. You can delete your account from your account settings. Deletion erases your product data from our systems, subject to the backup cycle and to records we must keep by law — including Stripe payment records retained for accounting and tax purposes. Details and timescales are in the Privacy Policy.
14.4 We do not store secrets. The Hosted Platform stores per-user product data only. It is designed as a metadata-only vault: it does not store broker credentials, broker API keys, or other trading secrets, and you must not enter them anywhere in the Hosted Platform.
15. Availability, changes, and support
15.1 Service standard. We will provide the Service with reasonable care and skill. If you are a Consumer, you have statutory rights if we do not — see section 16.1.
15.2 Availability. We aim to keep the Hosted Platform available continuously, but we do not guarantee uninterrupted or error-free operation. We may suspend parts of the Service for maintenance; where planned, we will give notice in the app or by email.
15.3 Dependencies. The Service depends on third-party providers (including hosting, DNS/CDN, authentication, payments, AI models, and market data). We choose and monitor providers with reasonable care, but we are not responsible for failures in third-party services we do not control, to the extent the law allows us to say so.
15.4 Market data. Market data is supplied by third-party sources, may be delayed, incomplete, or inaccurate, and is provided for use within the Service only. You must not redistribute it. Data sources may change. Market data reaches you under our data provider’s terms. You may use it inside PTQ; you may not redistribute or resell it.
15.5 Changes to the Service. We improve the Service continuously and may add, change, or remove features. If a change materially reduces the core functionality you have paid for during a period you have already paid for, we will tell you in advance where reasonably possible, and you may cancel and receive a pro-rata refund of the unused period.
15.6 Support. Support is provided in English, through the in-app support system and by email at lewis@jackson.ventures. We aim to respond within 24 hours. Support covers using the product. It does not cover trading decisions, strategy construction advice, broker issues, or general financial questions.
15.7 The Local OS runs on your machine. You are responsible for your own device, operating system, security, and internet connection meeting the published minimum requirements. We support current versions of the Local OS; we may require you to update to a supported version to keep using it.
16. Liability
16.1 What we do not exclude. Nothing in these terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by law. If you are a Consumer, nothing in these terms affects your statutory rights, including your rights under the Consumer Rights Act 2015 that services be performed with reasonable care and skill and that digital content be of satisfactory quality, fit for purpose, and as described.
16.2 Trading losses. Subject to 16.1: we are not liable for trading losses. The Service is educational tooling; under section 2 every trading decision is yours, made at your own risk. This includes losses arising from decisions influenced by any output of the Service — backtests, validation results, AI outputs, or anything else.
16.3 Third parties and markets. Subject to 16.1: we are not liable for the acts, omissions, or failures of your Broker or of market venues; for market movements; or for failures of third-party services we do not control, except to the extent the failure results from our own lack of reasonable care.
16.4 Foreseeable loss. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or our failure to use reasonable care and skill. We are not responsible for loss that is not foreseeable.
16.5 Not for business use. The Service is supplied for personal, non-commercial use. Subject to 16.1, we are not liable for business losses — loss of profit, loss of business, business interruption, or loss of business opportunity.
16.6 Cap. Subject to 16.1 and 16.4, our total liability to you arising out of or in connection with the Service is limited to the greater of (a) the amounts you paid us in the 12 months before the event giving rise to the claim, and (b) £100.
16.7 Your responsibility to mitigate misuse. Subject to 16.1, we are not liable for loss caused by your breach of these terms, by unauthorised modifications to the software, or by your failure to follow documented safety instructions (including the Arming Gate and supervision requirements in section 11).
17. Suspension and termination
17.1 You can leave any time. You can stop using the Service, cancel under section 7.4, or delete your account under section 14.3, at any time.
17.2 When we can act. We may suspend or restrict your account, revoke your Licence Key, or terminate these terms if: (a) you seriously or repeatedly breach them (including sections 4, 8, and 9); (b) we are required to by law; (c) your payment is charged back or reversed; or (d) your account shows strong evidence of fraud or unlawful use.
17.3 Process. Unless the breach is severe, unlawful, or continuing harm makes it impracticable, we will: tell you what the problem is, give you a reasonable chance to fix it if it is fixable, and only then suspend or terminate. Where we suspend, we will lift the suspension once the issue is resolved.
17.4 Effect of termination. On termination: your licences end; your Licence Key is revoked; and your access to the Hosted Platform closes. Unless your account was terminated for fraud, you will have 30 days from termination to export your data under section 14.2, after which section 14.3 deletion applies.
17.5 Refunds on termination by us. If we terminate other than for your breach, we will refund the unused part of any period you have paid for, pro rata. If we terminate for your serious breach, we will not owe you a refund, except where the law requires otherwise.
17.6 Survival. Sections that by their nature should survive termination do so — including sections 2, 3, 13, 16, this section, and 19.
18. Changes to these terms
18.1 We may update these terms — for example to reflect new features, legal requirements, or changes to our business.
18.2 For material changes, we will give you advance notice by email or in the app, with the date the change takes effect. If you do not accept a material change, you may cancel before it takes effect and receive a pro-rata refund of any unused paid period. Continuing to use the Service after the effective date means the updated terms apply to you.
18.3 The current version will always be available at part-timequant.com, with its effective date.
19. Governing law and disputes
19.1 Governing law. These terms are governed by the law of England and Wales. the law of England and Wales, with the courts of England and Wales having exclusive jurisdiction If you are a Consumer living in Scotland or Northern Ireland, you also benefit from any mandatory protections of the law where you live, and you can bring proceedings in your local courts.
19.2 Courts. Disputes may be brought in the courts of England and Wales. If you are a Consumer living in Scotland or Northern Ireland, you may instead use your local courts.
19.3 Talk to us first. If something goes wrong, contact us at lewis@jackson.ventures and give us a fair chance to fix it. We aim to acknowledge complaints within 24 hours and to resolve them promptly.
19.4 ADR.
20. General
20.1 Entire agreement. These terms, our Privacy Policy, and the policies they reference are the whole agreement between us about the Service. This does not exclude liability for fraud, and does not affect a Consumer's right to rely on information we gave before purchase that the law treats as included in the contract.
20.2 Assignment. You may not transfer your rights or obligations under these terms. We may transfer ours to a successor of the business, provided your rights are not reduced; we will tell you if we do.
20.3 Severance. If a court finds part of these terms unenforceable, the rest remains in force.
20.4 No waiver. If we do not enforce a right straight away, we can still enforce it later.
20.5 Third parties. No one other than you and us has rights under these terms (Contracts (Rights of Third Parties) Act 1999).
20.6 Events beyond our control. We are not responsible for delay or failure caused by events outside our reasonable control, but if such an event materially affects the Service for an extended period, you may cancel and receive a pro-rata refund of any unused paid period.
20.7 Language. These terms are drafted in English, and all communication with us will be in English.
Version: DRAFT v0.1 — [23 Aug 2026]. Not in force. Do not publish before UK counsel review.
